Dealer Agreement

Dealer Agreement — Heavy Equipment AI Version 2026-09-22.1 (draft, pending legal review) This agreement is between the dealership named in your account ("you", "the dealer") and Heavy Equipment AI ("we", "us"). You accept it by checking the box in the dealer portal. The person who checks it confirms they are authorized to bind the dealership. 1. What we do. We run a public directory of heavy equipment listed for sale. With a dealer account you can add listings yourself, one at a time or in bulk, and you can ask us to index the listings on your own website. Your listings appear on the site, in its search results and in its feeds, with a link or a contact card that sends buyers to you. 2. License for what you upload. For every listing, description and photo you upload or import, you grant us a worldwide, non-exclusive, royalty-free license to host, copy, resize, display and distribute it on the site and through its feeds and interfaces, with attribution to your dealership, for as long as the listing is live and until you revoke this agreement. You confirm that you own that content or hold the rights needed to license it to us in this way. 3. License for your website. If you ask us to index your website, you permit us to visit it with our identified crawler, to extract and display your listing data, and to display your listing photos, either loaded from your site or copied, under the same terms as section 2. You can withdraw this at any time in the portal. 4. Revocation. You can revoke this agreement in the portal at any time. Your photos stop being displayed on the next page load. We remove your listing data within thirty days, and we keep this agreement record, without the listing content, as evidence of the license that applied while your content was shown. 5. Accuracy. You are responsible for the accuracy of what you state about a machine. We normalize makes, models, hours and prices into our own conventions, and we may refuse or flag a listing that fails our checks or is not a machine. We may remove content that we believe infringes someone's rights or breaks the law. 6. Copyright complaints. If someone claims that content you supplied infringes their rights, we may take it down and tell you why. A dealership that repeatedly supplies infringing content loses its account. 7. Fees. Dealer accounts are free. If we introduce paid features, we will tell you in advance and you can decline them. 8. Financing requests. Buyers can ask, through the site, for information about financing a listed machine. Those requests go to our financing partner, not to you, and you are not a party to them. 9. Your information. How we handle account and contact details is set out in our Privacy Notice. Business contact details you choose to publish appear on your listings. 10. Changes and ending. We may change this agreement. A new version is shown to you for acceptance before it applies to anything you add afterwards, and the version you accepted keeps governing what was shown under it until then. You can end the relationship at any time by revoking; we can end it by closing the account, with notice except in a case of abuse. The governing law and venue will be stated in the version reviewed by our counsel.
